Carly Goeman

Carly Goeman is a corporate attorney who advises private companies and venture capital investors on formation, financings, international flips and reincorporations, mergers & acquisitions, and general corporate governance.

After graduating from Columbia Law School, Carly practiced in the mergers & acquisitions and securities groups at Cravath, Swaine & Moore, and later in the private companies group at Cooley. At Cooley, she partnered with entrepreneurs and investors to navigate all stages of the corporate cycle, from formation, through various forms and stages of fundraising, and exit events via M&A.

Carly has particular experience in venture financings, strategic transactions, and advising founders and boards on governance matters. She is recognized for her pragmatic, solution-oriented counsel and her ability to form strong partnerships with the entrepreneurs and investors she advises.

Before law school, Carly founded a marketing consulting company, where she advised startups, non-profits, and Fortune 100 companies. At Columbia, she was President of the Columbia Business and Law Association, an editor and published author in the Columbia Business Law Review, a James Kent Scholar, and recipient of the E.B. Convers Prize.

Carly was recognized as a Super Lawyers Rising Star in the New York Metro market in 2025.
