Zoë Egelman

Zoë Egelman is a corporate attorney with extensive experience advising start-ups, investors and high-growth companies on financings, corporate governance, M&A and strategic transactions. She has significant cross-border experience, including international financings and corporate restructurings, and regularly advises non-U.S. companies expanding into the U.S. market as well as non-U.S. investors investing in U.S. companies. Bilingual in French, Zoë enjoys working with French founders and investors.

After graduating from Harvard Law School, Zoë clerked for Judge Harry T. Edwards of the U.S. Court of Appeals for the D.C. Circuit. She then began her private practice at Cravath, Swaine & Moore, where she advised leading multinational corporations on significant mergers & acquisitions and securities offerings, before joining Cooley as a senior associate. At Cooley, she counseled emerging companies and venture funds across all stages of growth and investment.

Her practice spans company formation, venture financings, growth equity, M&A and general corporate governance. She is known for providing pragmatic, commercially focused advice and building collaborative relationships with her clients.

Before law school, Zoë worked as a legal analyst in the Rackets Bureau of the Manhattan District Attorney’s Office. At Harvard, she was a member of the Immigration and Refugee Clinic and served as Managing Editor of the Harvard International Law Journal.
